Contracting: written engagement agreement, executed electronically with the same legal effect as a manually signed contract

BAY47 INC retains rights to underlying tools, frameworks, libraries, and methodologies developed prior to or independent of the engagement
All work product is protected under applicable copyright and trademark law
Confidential information is protected by written non-disclosure agreements
Open-source software used in deliverables is governed by its respective license; we ensure license compatibility and disclosure
Trade secrets remain protected under applicable trade-secret law
Engagement partnerships involve mutual rights and obligations:

Both parties agree to act in good faith consistent with the engagement contract
Payment terms are specified in each written engagement contract:
Invoices issued per the milestones and schedule defined in the engagement contract
Standard payment terms are Net 15 or Net 30 days unless otherwise agreed
Late payments may accrue interest at the maximum rate permitted by law
We reserve the right to pause delivery for overdue invoices in accordance with the engagement contract
Applicable sales/use tax will be charged where required by law
Disputed invoices must be raised in writing within 15 days of receipt; otherwise invoices are deemed accepted
Confidentiality is critical in every client engagement:
All information shared during discovery and delivery is treated as confidential
We sign non-disclosure agreements before accessing sensitive product information
Information shared is used solely for project-delivery purposes
Confidentiality obligations are protected under applicable trade-secret law
Strict confidentiality is maintained throughout and after the engagement (typically 3–5 years post-engagement unless otherwise agreed)
Secure return or deletion of confidential materials at the end of an engagement
Protection of proprietary information and trade secrets of all parties
Software engagements involve inherent risks that we mitigate together:
Scope changes and evolving requirements may impact timelines and budgets — addressed through change orders

Dependencies on third-party APIs, platforms, or vendor systems
Regulatory changes that may affect technical scope
Production risks including performance, security, and operational concerns
Past performance is shared as a reference, not a guarantee of identical outcomes
Force-majeure events (natural disasters, government actions, cyber events) are excused per the engagement contract
We provide regular reporting and transparency throughout every engagement:
Regular sprint reports, velocity tracking, and milestone reviews
Updates on technical decisions, architectural changes, and risk areas
Disclosure of any blockers or scope adjustments that may impact delivery
Access to repos, project boards, and documentation for full client visibility

Any dispute arising from an engagement is resolved as follows:
Parties first attempt informal resolution by contacting knock-knock@bay47.org within 30 days
If informal resolution fails, disputes are resolved through binding arbitration administered by the American Arbitration Association in Miami-Dade County, Florida
Disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida
Class-action and representative-proceeding waivers apply to the extent permitted by law
Engagement contracts are governed by the laws of the State of Florida unless explicitly stated otherwise in writing
